Terms and Conditions of Toolify

Welcome to Toolify. These Terms and Conditions ("Terms") govern your access to and use of the services provided by Toolify ("Toolify", "we", "us", or "our"), a UK-based provider of AI chatbot and scheduling assistant. By using our website or purchasing our services, you agree to these Terms. If you do not agree, please refrain from using our services.

1. Toolify provides:

  • • AI-powered chatbot configuration and design
  • • Integration of chatbots into client websites
  • • Optional scheduling assistant functionality

Toolify offers its services as a business-to-business (B2B) SaaS provider. Our services may include one-off deployments or ongoing subscription-based access, depending on the chosen plan.

2. Use of the Service

You agree to:

  • • Use the Services solely for business purposes and not for any unlawful activity
  • • Provide accurate business and technical information as needed for configuration
  • • Take full responsibility for the integration and use of the chatbot on your systems
  • • Maintain control over chatbot responses and end-user interactions

You are solely responsible for ensuring that the deployment of our chatbot complies with all applicable laws and regulations in your jurisdiction.

3. Ownership and Licensing

All intellectual property in Toolify's platform, chatbot templates, source code, and underlying configuration remains the exclusive property of Toolify. When you engage our services, we grant you a limited, non-transferable, revocable licence to use the delivered chatbot or assistant for your business use.

You retain ownership of your own branding, business data, and user content that you provide during the onboarding and implementation process.

4. Payment Terms

Fees are outlined during the order or quotation process. Payment may be collected via bank transfer or third-party payment gateways.

  • • Subscriptions are billed in advance (monthly or annually)
  • • One-off deployments must be paid upon delivery unless otherwise agreed
  • • Late payments may result in service suspension or termination

Toolify reserves the right to change pricing with 30 days' prior notice to current subscribers.

5. Client Data and Privacy

You are the data controller of all personal data collected by the chatbot on your website. Toolify does not store, access, or retain any end-user conversation data unless explicitly agreed to in a data processing agreement (DPA).

We may collect limited contact and usage data when you interact with our website. For details, see our Privacy Policy.

Where required by applicable law or requested by the Client, Toolify is willing to enter into a Data Processing Agreement reflecting UK GDPR requirements.

6. Support and Service Levels

We aim to provide reasonable support by email or other agreed channels. Custom support arrangements or SLAs may be included in specific contracts, but are not guaranteed unless explicitly agreed.

7. Limitations of Liability

To the fullest extent permitted by law, Toolify shall not be liable for:

  • • Any indirect, incidental, or consequential damages
  • • Loss of profits, data, reputation, or anticipated savings
  • • Any issues resulting from third-party services or integrations

Our aggregate liability for any claim shall not exceed the amount paid by the client in the 12 months preceding the claim.

Toolify does not guarantee any specific business outcomes, such as increased conversions or leads, from chatbot use.

8. Disclaimer of Warranties

Toolify provides the Service "as is" and disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

Either party may terminate the agreement by providing 30 days' written notice. Toolify may terminate immediately if:

  • • The client breaches these Terms
  • • Payment obligations are not met
  • • The client misuses the Service or violates applicable laws

Upon termination, any outstanding payments are immediately due. Any granted licence to use Toolify's software will also cease.

10. Confidentiality

Each party agrees to treat the other's non-public information as confidential. Confidentiality obligations survive the termination of this agreement.

11. Force Majeure

Neither party shall be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, war, government actions, power failures, or internet outages.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Updates to These Terms

We may update these Terms from time to time to reflect changes in our services or applicable law. Any updates will be posted on our website with the "Last Updated" date. Continued use of the Service constitutes acceptance.
